Terms of Service

1. Acceptance

By using Companyverse, you agree to these terms. If you do not agree, do not use the service. Companyverse is operated by SoftAM UG (haftungsbeschränkt), Mergenthalerallee 15-21, 65760 Eschborn, Germany.

2. Service description

Companyverse provides project management, service monitoring, AI-powered code analysis, and team collaboration tools for engineering teams. The service is available via web application.

3. Accounts

You are responsible for maintaining the security of your account credentials. You must provide accurate information when creating an account. You may delete your account at any time.

4. Subscriptions & billing

Paid plans are billed per company on a monthly or annual basis. All paid plans include a 3-day free trial. You may cancel your subscription at any time; access continues until the end of the current billing period. Refunds are handled on a case-by-case basis.

5. Your data

You retain ownership of all content you upload to Companyverse. We do not claim any intellectual property rights over your data. We will not access your data except as necessary to provide the service or as required by law.

6. Acceptable use

You may not use Companyverse for any illegal purpose, to transmit malware, to attempt unauthorized access, or to interfere with the service's operation.

7. Limitation of liability

Companyverse is provided "as is". We do not guarantee uninterrupted or error-free operation. Our liability is limited to the amount you paid for the service in the 12 months preceding the claim.

8. Changes to terms

We may update these terms from time to time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.

9. Right of withdrawal (Widerrufsbelehrung)

If you are a consumer in the EU, you have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period expires 14 days after the day of the conclusion of the contract. To exercise the right of withdrawal, you must inform us (SoftAM UG, Mergenthalerallee 15-21, 65760 Eschborn, Germany, info@soft-am.com) of your decision to withdraw by an unequivocal statement (e.g. a letter or email).

If you requested to begin the performance of services during the withdrawal period, you shall pay us an amount proportional to what has been provided until you communicated your withdrawal. The right of withdrawal expires prematurely if we have fully performed the service and began performance only after you gave your express consent and acknowledged that you would lose your right of withdrawal once the contract was fully performed (§ 356(4) BGB).

10. Governing law & jurisdiction

These terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer in the EU, you also benefit from any mandatory provisions of the law of your country of residence. For business customers, the exclusive place of jurisdiction is Frankfurt am Main, Germany.

11. Online dispute resolution

The European Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr/.
We are not obliged or willing to participate in dispute resolution proceedings before a consumer arbitration board.
